Terms of service

1. About these terms

These terms form a contract between RunwiseOS Ltd, a company registered in Scotland (Company No. SC895421, registered office [REGISTERED ADDRESS]) ("we", "us"), and the person or company subscribing to the RunwiseOS service ("you"). By creating an account or using the service you agree to these terms.

2. The service

RunwiseOS is a cloud-based job management platform for trade businesses. We provide it on a subscription basis and will use reasonable skill and care to keep it available and reliable. We may improve, change or discontinue features from time to time and will give reasonable notice of material changes.

3. Your account

You must give accurate information when you sign up and keep it up to date. You are responsible for keeping login credentials safe and for everything done under your account. You must be at least 18 years old and authorised to contract on behalf of your business.

4. Free trial

We offer a 14-day free trial with every feature enabled. No payment card is required to start. At the end of the trial your account will pause unless you enter payment details and choose a billing period.

5. Subscription and billing

RunwiseOS is offered as a single plan at £29 per user, per month (billed monthly) or £290 per user, per year (billed annually, saving two months). All prices exclude VAT where applicable. Payments are taken through Stripe.

• Monthly plans renew automatically each month until cancelled.
• Annual plans renew automatically each year until cancelled.
• You can add or remove users from your account at any time; charges are pro-rated on your next invoice.
• Failed payments may result in the account being suspended until settled.

We may change prices with at least 30 days' notice, taking effect at your next renewal.

6. Cancellation and refunds

You can cancel from your account at any time. Monthly plans stop at the end of the current billing period. Annual plans stop at the end of the paid year; we do not refund unused annual time unless required by law.

7. Your data

You own the data you put into RunwiseOS (customers, jobs, quotes, invoices, photos and documents). We only use it to provide the service, in accordance with ourPrivacy policy. You can export your data at any time from your account. On cancellation you can export data for [REVIEW — e.g. 30 days] before we delete it.

8. Acceptable use

You agree not to:

• Break any law using the service.
• Upload malicious code, or data you have no right to upload.
• Send spam, harass or defraud anyone through the service.
• Reverse-engineer, resell or attempt to disrupt the service.
• Use the service to provide a competing product.

We may suspend or terminate accounts that materially breach these terms, giving notice where reasonably possible.

9. Third-party services

RunwiseOS integrates with third-party services (for example Stripe for payments). Your use of those services is governed by their own terms. We are not responsible for their availability or content.

10. Warranties and disclaimers

We provide the service with reasonable skill and care but do not warrant that it will be uninterrupted, error-free or fit for a particular business purpose. Except for the statutory rights that cannot be excluded, the service is provided "as is".

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Subject to that, our total liability to you in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data beyond what is recoverable from our most recent backup.

12. Governing law

These terms are governed by the laws of Scotland and the Scottish courts have exclusive jurisdiction over any dispute. [REVIEW — confirm with solicitor]

13. Changes to these terms

We may update these terms from time to time. Material changes will be notified in-app or by email at least 30 days before they take effect. Continued use after that means you accept the updated terms.
